Terms of Service

Preamble. Introduction and Acceptance

Welcome to Ameck. These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you and Ameck Technologies Limited ("Ameck", "we", "us", "our"), a company incorporated under the laws of the Republic of Cameroon, with its registered office at Second Floor, Njeiforbi Building, beside Société Générale Bank, Molyko, Buea, Cameroon.

Ameck operates a digital real estate discovery platform accessible at ameck.co, shops.ameck.co, com.ameck.co, and through our Android and iOS mobile applications (collectively, the "Platform"). The Platform connects house seekers with real estate agents, property owners, and listing partners to facilitate the discovery, evaluation, and arrangement of residential and commercial property viewings in Cameroon and, progressively, across Africa.

BY ACCESSING OR USING THE PLATFORM IN ANY CAPACITY, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS, YOU MUST NOT USE THE PLATFORM.

These Terms apply to all users of the Platform, including house seekers, real estate agents, property owners, real estate agencies, and all other persons who access any part of the Platform for any purpose. Where you access the Platform on behalf of a business, organisation, or agency, you represent and warrant that you have authority to bind that entity to these Terms.

1. Definitions

In these Terms, the following definitions apply unless the context requires otherwise:

• "Account" means a registered user account on the Platform, created by providing the required registration information.
• "Agent" means a licensed or accredited real estate agent, property manager, or real estate agency that has registered on the Platform to list, manage, and promote property listings.
• "Ameck Boost" means the paid promotional service that allows Agents to increase the visibility of individual listings on the Platform for a specified duration.
• "Content" means any information, photographs, text, data, listings, descriptions, videos, graphics, or other materials submitted to, uploaded on, or transmitted through the Platform by any user.
• "House Seeker" or "Seeker" means any registered or unregistered user who accesses the Platform to search for, browse, or arrange the viewing of property listings.
• "Listing" means any property advertisement, including its associated photographs, descriptions, pricing information, and agent details, published on the Platform.
• "Platform" means the Ameck web application available at ameck.co, shops.ameck.co, and com.ameck.co, and the Ameck Android and iOS mobile applications, collectively and individually.
• "Property Owner" means an individual or entity that owns a property and registers on the Platform to list that property directly, without engaging a third-party agent.
• "Subscription Plan" means a recurring fee-based plan purchased by an Agent or Agency that determines the volume of listings, features, and tools available to that user on the Platform.
• "User" means any person or entity that accesses or uses the Platform in any capacity, including House Seekers, Agents, Property Owners, Real Estate Agencies, and Platform Administrators.
• "Viewing Fee" means any fee charged by an Agent, Property Manager, or Property Owner to a House Seeker in connection with the arrangement or conduct of a physical property viewing. For the avoidance of doubt, Ameck does not set, collect, hold, or process Viewing Fees.

2. Eligibility and Account Registration

2.1 Eligibility

To use the Platform, you must: (a) be at least eighteen (18) years of age; (b) have the legal capacity to enter into a binding contract under applicable law; (c) not be prohibited from using the Platform under any applicable law or regulation; and (d) provide accurate, complete, and current registration information where required.

2.2 Account Registration

Certain features of the Platform require the creation of an Account. You may create an Account by registering directly with your email address and password, or by authenticating through Google ("Sign in with Google"). By registering, you represent that all information you provide is accurate and that you will maintain and update your information to keep it accurate and current.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify Ameck immediately at contact@ameck.co if you become aware of any unauthorised access to or use of your Account. Ameck will not be liable for any loss or damage arising from your failure to protect your Account credentials.

2.4 Single Account

Each individual may hold only one personal Account on the Platform. Real estate agencies registered under Clause 3 may maintain a single agency Account from which multiple agent sub-accounts are managed. Creating duplicate, fraudulent, or misleading accounts is a material breach of these Terms and will result in the immediate suspension or termination of all associated accounts.

3. User Types and Account Categories

The Platform supports the following account types, each subject to these Terms and, where applicable, additional product-specific terms:

3.1 House Seekers

House Seekers may access the Platform without registration to browse publicly visible listings. Full access to certain features, including the ability to contact agents, save listings, and access detailed listing information, requires the creation of an Account.

3.2 Independent Real Estate Agents

Independent Agents must register as Agent accounts and are subject to these Terms and the Ameck Agent Terms and Conditions ("Agent Agreement"), which is incorporated by reference into these Terms. In the event of conflict between these Terms and the Agent Agreement, the Agent Agreement shall prevail to the extent of the conflict. Agents are required to comply at all times with all applicable Cameroonian laws governing real estate agency, including any applicable licensing requirements.

3.3 Real Estate Agencies

Registered real estate agencies may create a corporate Agency Account, from which individual agents associated with the agency may be managed as sub-accounts. The agency account holder is responsible for the conduct of all sub-accounts created under its agency profile and accepts liability for any breach of these Terms by any sub-account user.

3.4 Property Owners

Private property owners may register on the Platform to list their properties directly without engaging a licensed agent. Property owners are responsible for ensuring that the property details they provide are accurate, current, and do not infringe any third-party rights.

3.5 Platform Administrators

Platform Administrators are Ameck employees or authorised personnel with elevated access rights for the purpose of operating, monitoring, and moderating the Platform. Administrator access is governed by internal Ameck policies and is not a user role available to the public.

4. Subscription Plans and Fees

4.1 Agent Subscription Plans

Ameck offers the following Subscription Plans for Agents and Agencies. All prices are stated in Central African CFA Francs (XAF) and are exclusive of any applicable taxes or levies:

4.2 Ameck Boost — Promotional Listing Products

Agents may optionally purchase the following promotional products to increase the visibility of individual listings. Ameck Boost products are subject to availability and may be modified or discontinued at any time:

• Listing Boost — 3 days: XAF 1,000 per listing
• Listing Boost — 7 days: XAF 3,000 per listing
• Featured Listing on Homepage — 2 days: XAF 5,000 per listing

Ameck Boost products are non-refundable once activated. The duration of a boost commences at the time of successful payment confirmation.

4.3 Payment of Subscription Fees

Subscription fees are payable monthly in advance through the following payment methods: MTN Mobile Money, Orange Money, bank transfer, or card payment via Fapshi, our authorised third-party payment gateway in Cameroon. Payments are processed by Fapshi and are subject to Fapshi's own terms and conditions. Ameck does not store card details directly.

4.4 Renewal and Cancellation of Subscriptions

Subscription Plans renew automatically at the end of each billing period unless cancelled by the Agent prior to the renewal date. Cancellation of a Subscription Plan will take effect at the end of the current billing period. No refund will be issued for any unused portion of a subscription period that has already been paid.

4.5 Plan Modifications

Ameck reserves the right to modify Subscription Plan pricing, features, and availability at any time by providing not less than thirty (30) days' notice to affected users. Your continued use of a Subscription Plan after the effective date of any modification constitutes your acceptance of the revised terms.

5. Viewing Fees and Direct Transactions

5.1 Ameck Does Not Process Viewing Fees

For the avoidance of doubt, Ameck does not set, determine, collect, hold, transfer, or process any Viewing Fee or rental payment. All financial transactions in connection with property viewings, rental agreements, and any other arrangements between House Seekers and Agents or Property Owners are conducted entirely outside the Platform and exclusively between the relevant parties.

5.2 Viewing Fee Responsibility

Viewing Fees, if any, are determined solely by the Agent, Property Manager, or Property Owner. Any decision by a House Seeker to pay a Viewing Fee is made at the House Seeker's sole discretion and risk. Ameck accepts no responsibility for, and shall not be liable in connection with, any Viewing Fee paid, refused, disputed, or lost in connection with a property viewing arranged through the Platform.

5.3 Viewing Cancellations and Refunds

If a scheduled viewing is cancelled, postponed, or amended, the House Seeker and Agent or Property Owner are responsible for resolving all resulting matters, including any refund or rescheduling of fees, directly between themselves. Ameck has no obligation to mediate, adjudicate, or compensate in connection with any viewing cancellation.

5.4 Formal Complaints

Where a House Seeker believes that an Agent or Property Owner has engaged in fraudulent, misleading, or improper conduct in connection with a viewing fee or rental transaction, the House Seeker may submit a formal written complaint to Ameck at contact@ameck.co. Ameck will review the complaint in accordance with Clause 19 and may take appropriate action against the relevant Agent, including the suspension or removal of their account and listings, at Ameck's sole discretion. Ameck is not a party to any transaction between users and shall not be liable for the outcome of any such transaction.

6. Property Listings

6.1 Listing Submission and Auto-Publication

Listings submitted by Agents or Property Owners are published automatically on the Platform upon submission. Ameck conducts post-publication review of listings on a periodic basis and reserves the right to remove, edit, flag, or suspend any listing at any time that it determines, in its sole discretion, does not comply with these Terms or applicable law.

6.2 Listing Verification

Ameck's verification process, where conducted, covers the following elements: agent identity, listing availability and photographs, stated amenities, and location accuracy. Verification is conducted on a best-efforts basis and does not constitute a warranty or guarantee by Ameck that any listing is accurate, complete, or suitable for any particular purpose. The verified status of a listing reflects the status of the listing at the time of verification and may not reflect any subsequent changes.

6.3 Listing Accuracy

Agents and Property Owners are solely responsible for the accuracy, completeness, and currency of all information contained in their listings, including photographs, rental prices, amenity descriptions, availability status, and location information. Misrepresentation of listing details is a material breach of these Terms and of the Agent Agreement.

6.4 Agent Mandate

Agents may only list properties for which they hold a direct and current mandate from the property owner or an authorised representative of the property owner. Listing a property without a valid mandate is strictly prohibited and constitutes a material breach of these Terms.

6.5 Listing Duration and Renewal

The duration and renewal of listings are determined by the Subscription Plan held by the Agent. Free Tier listings are non-editable after publication. Growth, Professional, and Expert Tier listings may be edited and renewed in accordance with the applicable plan terms.

7. Agent Obligations

In addition to any obligations set out in the Agent Agreement, all Agents registered on the Platform must at all times:

• Hold any licence, accreditation, or registration required by applicable Cameroonian law to operate as a real estate agent or property manager.
• Ensure that all listings are accurate, current, and supported by a valid mandate.
• Respond to House Seeker viewing requests in a timely and professional manner.
• Not engage in any discriminatory conduct in the handling of viewing requests or property transactions, including discrimination based on gender, ethnicity, religion, nationality, disability, or any other protected characteristic.
• Maintain the confidentiality of all personal data received through the Platform and use such data only for the purpose for which it was shared.
• Not solicit House Seekers to transact outside the Platform in a manner designed to circumvent any fees payable to Ameck.
• Promptly update or remove listings that are no longer available.
• Comply with all applicable laws governing property letting, rental agreements, and consumer protection in Cameroon.

8. House Seeker Obligations

All House Seekers using the Platform must:

• Provide accurate and truthful information when registering and when contacting Agents.
• Use the Platform and its communication features only for the genuine and lawful purpose of identifying and arranging viewings of properties.
• Treat Agents, Property Owners, and other users of the Platform with respect and professionalism.
• Not misuse, circumvent, or manipulate the Platform's search, messaging, or rating features.
• Not submit false, misleading, or malicious reviews or ratings in respect of any Agent or Property Owner.
• Comply with any viewing protocols, conditions, or requirements communicated by the Agent or Property Owner prior to a viewing.

9. Ratings and Reviews

9.1 House Seeker Reviews

Following a property viewing, House Seekers may leave a review and rating for the Agent or Property Owner associated with the listing. Reviews must be honest, accurate, and based on the reviewer's genuine first-hand experience. Fabricated, malicious, or incentivised reviews are prohibited.

9.2 Agent Responses

Agents may respond to reviews left in respect of their listings. Responses must be professional, respectful, and not contain any personal data of the reviewing user.

9.3 Moderation

Ameck reserves the right to remove, decline to publish, or edit any review that it determines, in its sole discretion, violates these Terms, is defamatory, is false, or is otherwise inappropriate. Ameck is not responsible for the content of any user-submitted review but will act promptly upon receiving a complaint about a specific review.

10. Prohibited Conduct

The following conduct is strictly prohibited on the Platform. Engaging in any prohibited conduct may result in immediate account suspension or termination and may expose the user to civil or criminal liability under applicable law:

• Publishing false, misleading, inaccurate, duplicate, or non-existent property listings.
• Impersonating a real estate agent, property owner, Ameck employee, or any other person or entity.
• Engaging in harassment, discrimination, hate speech, or any threatening, abusive, or offensive conduct directed at any other user.
• Listing properties that are illegal, unsafe, uninhabitable, or otherwise unsuitable for human occupation.
• Uploading, submitting, or transmitting any content that is sexually explicit, pornographic, obscene, or otherwise inappropriate.
• Soliciting or facilitating payment, deposits, or financial transactions outside the Platform through deception or misrepresentation, including rental scams, advance fee fraud, and impersonation.
• Collecting or storing personal data of other users without their consent and in a manner inconsistent with Ameck's Privacy Policy.
• Manipulating, fabricating, or incentivising ratings, reviews, or engagement metrics on the Platform.
• Attempting to gain unauthorised access to any part of the Platform, any user account, or Ameck's systems or data.
• Using automated scripts, bots, scrapers, or other software tools to extract data from the Platform without the prior written consent of Ameck.
• Listing a property without holding a current, valid mandate from the property owner or their duly authorised representative.
• Using the Platform for any purpose that violates any applicable Cameroonian law, international law, or any law of any jurisdiction in which you are located.

11. Intellectual Property

11.1 Ameck's Intellectual Property

All intellectual property rights in the Platform — including but not limited to the software, code, algorithms, databases, design, graphics, trade names, trade marks, service marks, logos, and all other features — are owned by or licensed to Ameck Technologies Limited. These Terms do not grant you any right, title, or licence in or to Ameck's intellectual property other than the limited, non-exclusive, non-transferable, revocable licence to access and use the Platform in accordance with these Terms.

11.2 User Content Licence

By submitting any Content to the Platform — including listing photographs, descriptions, and other materials — you grant Ameck a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable licence to use, host, store, reproduce, distribute, display, adapt, and create derivative works from such Content, in any media or format, for the purposes of operating, promoting, and improving the Platform. You retain all ownership rights in your Content subject to this licence.

11.3 Your Representations Regarding Content

By submitting Content, you represent and warrant that: (a) you own or control all rights in the Content or have obtained all necessary permissions to grant the licence in Clause 11.2; (b) the Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and (c) the Content complies with all applicable laws and these Terms.

11.4 Trade Marks

The name "Ameck", the Ameck logo, and all related names, logos, product names, and slogans are trade marks of Ameck Technologies Limited, with trade mark registration pending in Cameroon. You may not use any Ameck trade mark without the prior written consent of Ameck.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMECK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Any warranty that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
• Any warranty as to the accuracy, completeness, reliability, or currency of any listing, content, or information on the Platform.
• Any warranty that any property listing accurately represents the actual condition, availability, or characteristics of the property.
• Any warranty that any Agent, Property Owner, or other user on the Platform is legitimate, licensed, solvent, or trustworthy.
• Any warranty of title, merchantability, fitness for a particular purpose, or non-infringement.

Ameck is a technology platform and facilitates the discovery and connection between house seekers and property providers. Ameck is not a real estate agent, property manager, landlord, or party to any property transaction.

13. Limitation of Liability

13.1 Exclusion of Indirect Loss

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMECK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, REGARDLESS OF WHETHER AMECK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Cap on Direct Liability

To the maximum extent permitted by law, Ameck's total aggregate liability to you for any claim arising out of or in connection with these Terms or the Platform shall not exceed the total amounts paid by you to Ameck in the twelve (12) months immediately preceding the event giving rise to the claim.

13.3 Specific Exclusions

Ameck shall not be liable for: (a) any loss arising from a House Seeker's payment of a Viewing Fee to an Agent or Property Owner; (b) any loss arising from a property transaction conducted between users outside the Platform; (c) any inaccuracy in any user-generated listing, review, or content; (d) any loss arising from account suspension or termination conducted in accordance with these Terms; or (e) any loss arising from a failure to successfully complete a viewing that was arranged through the Platform.

13.4 Applicable Law Savings

Nothing in these Terms shall limit or exclude Ameck's liability where such limitation or exclusion is not permitted by applicable mandatory law in Cameroon.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ameck Technologies Limited, its directors, officers, employees, contractors, agents, licensors, and successors from and against all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Platform; (b) any Content you submit to the Platform; (c) your breach of these Terms or any representation or warranty made by you; (d) your violation of any applicable law or regulation; or (e) any claim by a third party arising from your conduct on or through the Platform.

15. Privacy and Data Protection

Your use of the Platform is also governed by Ameck's Privacy Policy, which is incorporated into and forms part of these Terms. By using the Platform, you acknowledge that you have read and understood the Privacy Policy and consent to the collection, processing, and use of your personal data as described therein. The Privacy Policy is available at ameck.co/privacy.

16. Cookies

The Platform uses cookies and similar tracking technologies in accordance with Ameck's Cookies Policy, which is incorporated into and forms part of these Terms. By continuing to use the Platform after receiving notice of our use of cookies, you consent to such use in accordance with the Cookies Policy. The Cookies Policy is available at ameck.co/cookies.

17. Third-Party Links and Services

The Platform may contain links to or integrate with third-party websites, applications, and services, including Google Maps, Fapshi, Pusher, and social media platforms. Such third-party services are governed by their own terms and policies, which are independent of Ameck. Ameck does not endorse, control, or assume any responsibility for any third-party service, and your use of any third-party service is entirely at your own risk.

18. Account Suspension and Termination

18.1 Termination by User

You may deactivate your Account at any time by contacting Ameck at contact@ameck.co. Upon deactivation, your access to the Platform and all associated features will cease. Subscription fees paid prior to deactivation are non-refundable. Any Content you have submitted may be retained by Ameck in accordance with the Privacy Policy.

18.2 Suspension and Termination by Ameck

Ameck reserves the right to suspend or terminate your Account, with or without prior notice, for any reason, including but not limited to: your breach of these Terms; conduct that Ameck determines, in its sole discretion, is harmful to the Platform, other users, or Ameck; failure to pay any amounts due; or where required by applicable law.

18.3 Right of Appeal

If your Account has been suspended or terminated, you may appeal this decision by submitting a written appeal to contact@ameck.co within fourteen (14) calendar days of the suspension or termination. Ameck will review your appeal and respond within ten (10) business days. The decision on appeal is final.

18.4 Effect of Termination

Upon termination of your Account for any reason, all licences granted to you under these Terms will immediately cease. Clauses that by their nature survive termination — including Clauses 10, 11, 12, 13, 14, 19, and 20 — shall continue to apply notwithstanding the termination of these Terms.

19. Dispute Resolution

19.1 Internal Complaints Process

In the event of any dispute between you and Ameck arising out of or in connection with your use of the Platform or these Terms, you must first submit a formal written complaint to Ameck at contact@ameck.co. Ameck will acknowledge your complaint within three (3) business days and will endeavour to resolve the complaint in good faith within thirty (30) calendar days.

19.2 Arbitration

If a dispute cannot be resolved through the internal complaints process within thirty (30) calendar days, either party may refer the dispute to arbitration. Such arbitration shall be conducted in Buea, Cameroon, in accordance with applicable arbitration rules and procedures. The arbitration shall be conducted in English or French, at the election of the claimant, and the decision of the arbitrator shall be final and binding on both parties.

19.3 Court Proceedings

Nothing in this Clause 19 prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction where necessary to protect its rights pending resolution of a dispute.

20. Governing Law

These Terms are governed by and shall be construed in accordance with the laws of the Republic of Cameroon, including but not limited to the Cameroon Commercial Code, Law No. 2010/012 of 21 December 2010 on cybersecurity and cybercrime in Cameroon, and any other applicable Cameroonian legislation. Subject to Clause 19, the parties submit to the exclusive jurisdiction of the competent courts of Buea, Cameroon.

Where Ameck operates in or serves users from jurisdictions outside Cameroon, Ameck will comply with applicable local laws to the extent required. Users accessing the Platform from outside Cameroon do so at their own initiative and are responsible for compliance with applicable local laws.

21. Changes to These Terms

Ameck reserves the right to amend, update, or replace these Terms at any time. Where changes are material, Ameck will provide not less than fourteen (14) days' notice to registered users by email or by a prominent notice on the Platform prior to the changes taking effect. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, you must cease using the Platform.

22. General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookies Policy, and (where applicable) the Agent Agreement, constitute the entire agreement between you and Ameck in relation to your use of the Platform and supersede all prior agreements, representations, and understandings.

22.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be severed from the remainder of the Terms, which shall continue in full force and effect.

22.3 Waiver

Ameck's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Ameck to be effective.

22.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Ameck. Ameck may assign its rights and obligations under these Terms at any time, including in connection with a merger, acquisition, restructuring, or sale of assets.

22.5 Language

These Terms are prepared in English. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail.
